An offer to compromise that does not inform the offeree of the offeror's actual costs, and does not foreshadow adverse costs consequences if not accepted, may not support an order for indemnity costs even where the offeror obtains a result no less favourable than the offer. A proceeding under the Freedom of Information Act advancing a private interest in access to documents does not attract a special costs order on public interest grounds.
