Where a payment is made in connection with a conditional contract for the sale of a business, and the contract is terminated before the condition is satisfied through no fault of the payee, the cause of action for money had and received on the basis of total failure of consideration may lie against the personal recipient of the payment even where that person was not a party to the contract. The Court of Appeal may refuse leave to appeal despite grounds having real prospects of success where remittal would be futile because an alternative cause of action is bound to succeed on the existing pleadings and evidence.
