A plaintiff who deliberately withdraws claims from proceedings to obtain an expedited trial on confined issues, and whose conduct conveys to the court and the opposing party that the withdrawn claims are abandoned, will be precluded from relitigating those claims in fresh proceedings as an abuse of process. The reflective loss principle bars a shareholder's claim for diminution in share value reflecting the company's loss even where the company is precluded from suing by abuse of process (not merely where the company has no cause of action), and even where the shareholder has an independent cause of action under a guarantee or indemnity. A shareholder's claim that has the objective effect of circumventing a court's stay of the company's proceedings may itself constitute an abuse of process.
