A party's internal approval processes before its representatives vote on a matter at a joint project control group meeting do not, without more, constitute repudiation of the underlying agreement. A refusal to agree to recording of meetings is not repudiatory where there is no contractual or statutory entitlement to record, and the dispute should be resolved through contractual dispute resolution mechanisms. An appellate court will not interfere with a trial judge's factual findings based substantially on credibility assessments absent demonstrated appellable error.
