Directors must actively consider whether dividend payments will materially prejudice the company's ability to pay creditors as and when debts fall due, not merely whether the company can ultimately pay; failure to do so may constitute breach of s 180 even where the director relies on industry practice regarding late payment of trade creditors. A vicariously liable principal cannot be relied upon as a concurrent wrongdoer for proportionate liability purposes.
