A single instance of inadvertent failure to lodge a cleansing prospectus before issuing shares, where the company acts promptly to remedy the error and no substantial injustice results, will ordinarily warrant validation under s 1322(4)(a) of the Corporations Act. The court confirmed that the issue of a cleansing prospectus is procedural in nature for the purposes of s 1322(6)(a)(i).
