The improvidence of a transaction does not, without more, shift the onus to the party seeking to enforce the guarantee to prove it was fair, just and reasonable, and a sophisticated guarantor who voluntarily assumes obligations may not be able to rely on the Contracts Review Act even where the guaranteed obligations are highly onerous.
