A director's active role in conducting litigation on behalf of a company — including commencing proceedings, swearing affidavits, signing submissions, and appearing with leave — does not, without more, justify a non-party costs order where the litigation was not conducted unreasonably or improperly, there is no evidence of insolvency, and no evidence the director funded the proceedings.
