The Court held that a payment processor (Alipay Australia) which received purchase monies as a delegate of the contractual payment services provider (Alipay Singapore) owed no direct contractual or representational obligations to the buyer, where the buyer's contractual relationships under the platform's Transaction Services Agreement and Alipay Services Agreement were with the platform operator (Alibaba Singapore) and the payment services entity (Alipay Singapore) respectively. No viable cause of action in misleading and deceptive conduct, fraud, or conspiracy was disclosed against the payment processor, as the plaintiff failed to plead any specific representational conduct by, or contractual relationship with, that entity. Leave to replead was refused on the basis that no viable cause of action could be formulated against the payment processor and any damages claim would be minimal and inappropriate for the Supreme Court.
