The Court made final orders giving effect to its primary judgment, rejecting the fourth defendant's attempts to incorporate qualifying notations and clarifications into declarations that did not reflect the Court's findings. The Court refused to allow a credit or set-off for distributions paid above the contractual 1% rate where no defendant had pleaded mistake, restitution, or any other basis for set-off, and where the overpayments were consistent with the defendant's own representation to 'under promise and over deliver'. The fourth defendant's liability under s 197 of the Corporations Act was confirmed as joint with the first defendant, and costs were ordered jointly and severally against the fourth defendant and the submitting defendants for the period prior to their submitting appearances.
