Section 201M(1) of the Corporations Act does not validate acts of a person purporting to act as director where the invalidity arises from a substantive prohibition on appointment (such as bankruptcy disqualification under s 206B(3)), as distinct from a mere irregularity in the appointment process; the entire chain of corporate transactions dependent on such acts is void.
