The Court ordered reinstatement of a deregistered company under s 601AH of the Corporations Act 2001 to enable a former director to comply with ATO director penalty notices by placing the company into creditors' voluntary liquidation. The Court accepted that a former director who faces personal liability under director penalty notices that can only be discharged by winding up the deregistered company is a 'person aggrieved' by the deregistration, and validated a special resolution for voluntary winding up to take effect upon reinstatement given insufficient time for the resolution to be passed after reinstatement. ASIC was granted liberty to apply within 21 days to vacate the orders.
