The Court granted declaratory relief under s 1322(4)(a) of the Corporations Act validating the appointment of an auditor where the company failed to put the auditor's appointment to shareholders at the next AGM as required by s 327C(2), and validated cleansing notices issued during the period of non-compliance with Chapter 2M. The Court also relieved the company and its current and former directors and officers from civil liability under s 1322(4)(c), finding the contraventions arose from administrative oversight, involved no dishonesty, and that no substantial injustice would result from the orders.
