A deed of company arrangement that gives deed administrators the power (but not the obligation) to extinguish a creditor's claim does not automatically extinguish that claim; the deed administrators must take an additional positive step to exercise that power. Where a contractual obligation is joint rather than several, variation requires the agreement of all obligees.
