Where a builder lends money to a building owner for the purpose of assisting in construction, and the deed of loan contemplates repayment from sale proceeds of the constructed units, there is a sufficiently close connection between the loan and the building contract to support a fairly arguable equitable set-off of the owner's counterclaim for defective work against the builder's claim on the loan.
