The choice of method for valuing company shares (capitalised maintainable earnings versus assets-based valuation) is a question of fact, not a question of law, and accordingly a special referee's choice of valuation method will not be disturbed on adoption unless it is patently unreasonable or against the weight of evidence. Parties cannot effectively re-litigate the referred question by adducing new expert evidence criticising the referee's conclusions.
