A court order requiring notification of a 'purchase or sale' within 24 hours is to be construed as requiring notification within 24 hours of the completion of the transaction by payment, not upon the earlier transfer of registration. Contempt proceedings instituted without prior notice to the alleged contemnor, on tenuous evidence, and without seeking an explanation may attract indemnity costs. A court may decline to exercise its contempt jurisdiction where the proven breach is trivial, accidental and inadvertent, even though technically established.
