A clause providing for a sale notice to be given where a party 'wishes to sell any estate or interest in a Property' does not authorise the giving of a sale notice where the party wishes to sell only part of its estate or interest, particularly where the contractual machinery contemplates the purchaser assuming the entirety of the vendor's position. The word 'sell' connotes the transfer of the absolute or general property in the thing transferred; the mere vesting of part of the estate of a grantor is not correctly described as a sale. A sale notice mechanism is not triggered where negotiations with a proposed purchaser are at an inchoate stage and the terms of the proposed sale have not been identified with sufficient certainty.
