A complainant under s 536(1)(b) of the Corporations Act 2001 need not have any interest in the liquidation to have standing, as 'any person' bears its literal meaning. However, the complainant must establish by affidavit a prima facie case that something requires inquiry; the complainant is not entitled to cross-examine the liquidator to establish that initial case. The court retains a broad discretion whether to order an inquiry even if the prima facie threshold is met, taking into account factors including the complainant's interest, ASIC's position, the stage of the liquidation, and the public interest.
