Where a party asserts an unconditional defence of breach of warranty of title that is mutually dependent on the payment obligation sought to be enforced, summary enforcement will generally be refused. The mere fact that a defence is contingent on the outcome of separate proceedings does not necessarily preclude summary enforcement, but an unconditional assertion of breach of warranty materially changes the position.
