A contract creating an option to subscribe for shares does not contain an implied term that the company's decision-makers will not include persons with conflicting obligations. Option holders are not in a better position than shareholders regarding directors' duties, and the proper plaintiff rule in Foss v Harbottle applies. A company cannot be taken to have promised how its board will be constituted.
