The good faith requirement under s 237(2)(b) of the Corporations Act is not confined to the two Swansson factors (honest belief in a good cause of action and absence of abuse of process). It extends to collateral purposes that would not amount to abuse of process, and the court may have regard to the full range of circumstances including the applicant's delay, awareness of the impugned conduct, benefits derived from it, failure to attempt compromise, and the context of a control dispute. An applicant under s 237 is in effect seeking to stand in the shoes of the directors, and the same breadth of inquiry into bona fides that applies to directors' exercise of powers applies to the applicant's good faith.
