A contractual valuation is not invalidated by errors in the valuer's methodology, assumptions or calculations, provided the valuation was made in accordance with the terms of the contract. Where a contract provides for an alternative valuation, the identity of the alternative valuer must be communicated to the other party before the valuation is arranged. An implied term requiring performance within a reasonable time will be read into a contractual valuation mechanism that specifies no time limit, but what constitutes a reasonable time is assessed in light of all circumstances including the absence of prejudice to the other party.
