Where parties have contractually committed a valuation to an independent expert, the court will not make declarations directing the expert on how to undertake the task, even where the expert has identified questions of construction as uncertain. The expert may seek independent legal advice and should resolve such questions himself. A party whose proposed construction of a valuation clause amounts to rectification cannot achieve that result through a summary application for declarations.
