A director of an Aboriginal and Torres Strait Islander corporation may unilaterally call a general meeting of members under s 201-1 of the CATSI Act without first seeking consensus with other directors, and the purpose of putting removal and appointment resolutions to members is a proper purpose. Members may appoint non-members as proxies unless the corporation's rule book explicitly prohibits this. Non-party costs orders against officers of an unsuccessful corporate party require exceptional circumstances and will not be made where the corporation is solvent and the officers did not act improperly or in their own interests.
