A clause in a deed of settlement requiring ratification by a general meeting within a specified period may be construed as a condition precedent to performance, even where the clause does not use express conditional language, where the commercial purpose of the clause supports that construction. The use of the expression 'fundamental breach' in an unsophisticated commercial agreement will not necessarily be given its technical legal meaning.
