Acceptance of a settlement offer marked 'without prejudice, save as to costs' ordinarily creates an immediately binding agreement, even where the offer contemplates execution of a formal deed and even where proceedings have not yet commenced; a party who wishes to avoid being bound until a deed is executed must use express language such as 'subject to deed'.
