The Court dismissed an application under s 247A of the Corporations Act for inspection of APRA and AMCOS board and meeting minutes, holding that the applicant's purpose was to advance a commercial dispute against a third party (Universal Music Publishing) rather than to vindicate any rights as a member of APRA/AMCOS. Seeking company documents to support litigation against a third party does not constitute a 'proper purpose' under s 247A, even if the documents might be relevant to those proceedings. The breadth of the request (ten years of board minutes, committee minutes, internal communications and board papers) and the confidential and commercially sensitive nature of the documents provided further independent bases for refusal.
