54 Partnership agreement
(1)
There must be a written agreement between the partners in an incorporated limited partnership (the partnership agreement) that sets out the interests, rights and obligations of the partners.
(2)
On the partnership's registration, the partnership agreement has effect as a contract between the partnership and the partners.
