Section 22(4)
1. Membership of committees
A committee consists of such number of persons as the Board determines.
The managing director is to be available to attend meetings of the audit committee, but is not to be a member of the committee.
The chairperson of the audit committee must be a non-executive director.
2. Conditions of appointment
A member of a committee is entitled to be reimbursed such reasonable expenses as are agreed by the Board.
A member of a committee holds that office on such conditions as may be determined by the Board.
3. Meetings
Meetings of a committee are to be held in accordance with any directions given by the Board.
A committee may obtain assistance, information and advice from any person.
Except as provided by this Schedule and the rules, a committee may regulate the calling of, and the conduct of business at, its meetings.
4. Disclosure of interests A member of a committee has the same duties in respect of the disclosure of interests to the committee as a director has in respect of the disclosure of interests to the Board.
