Subject to subsection (2), meetings of the board of directors of a Transport Corporation must be held at the times and places determined by the board of directors.
The chairperson—
may at any time convene a meeting of the board of directors;
must convene a meeting of the board of directors when requested by a director to do so.
A majority of the directors of the board of directors for the time being constitutes a quorum of the board of directors.
A question arising at a meeting of the board of directors is determined by a majority of votes.
The person presiding at a meeting of the board of directors has—
a deliberative vote; and
in the case of an equality of votes, a second or casting vote.
The board of directors must ensure that accurate minutes are kept of its meetings.
The board of directors may permit directors to participate in a particular meeting, or all meetings, by telephone, closed-circuit television or other means of communication that does not require the physical presence of each director in the same place.
Subject to this Act, the board of directors may regulate its own proceedings.
