49 Co‑operative may authorise person to execute deed
A co‑operative may, by writing under its common seal, empower a person, either generally or in relation to a specified matter, as its agent or attorney (authorised attorney) to execute deeds on its behalf.
A deed signed by an authorised attorney on behalf of the co‑operative and under the seal of the attorney, or under the appropriate official seal of the co‑operative, binds the co‑operative and has effect as if it were under the common seal of the co‑operative.
The authority of an authorised attorney, as between the co‑operative and a person dealing with the attorney, continues during the period, if any, specified in the instrument conferring the authority or, if no period is specified, until notice of the revocation or termination of the authority of the attorney has been given to the person dealing with the attorney.
