Where sections of the Corporations Law under which an offender was charged are repealed between conviction and sentencing, but the conduct would still breach the law as amended, the repeal is irrelevant to sentencing. Even if the conduct would no longer be illegal due to technical legislative changes, personal and general deterrence remain relevant because the conduct was illegal at the material time and the offender needs to be deterred from disregarding disclosure requirements as they exist from time to time. A two-month discount for late cooperation with law enforcement, in circumstances of little contrition, is within the range of proper sentencing discretion.
