82 Conduct of business
Subject to this division, the board may conduct the board’s business in the way the board considers appropriate.
The board may hold meetings, or allow board members to take part in meetings, by using any technology allowing reasonably contemporaneous and continuous communication between persons taking part in the meeting.
A board member who takes part in a meeting under subsection (2) is taken to be present at the meeting.
A question at a meeting is to be decided by a majority of the votes of the board members present at the meeting.
If the votes are equal, the board member presiding has a casting vote.
A resolution is a valid resolution of the board, even though it is not passed at a meeting of the board, if—
at least half of the board members give written agreement to the resolution; and
notice of the resolution is given under procedures approved by the board.
The board may invite persons other than board members to attend a meeting to advise or inform the board about any matter.
