16 Validity of acts and immunity of members
(1)
An act or proceeding of the board is not invalid by reason only of a vacancy in its membership or a defect in the appointment of a director.
(2)
A director incurs no civil liability for an honest act or omission in the performance or exercise, or purported performance or exercise, of the director's or the board's functions, duties or powers under this or any other
Act.
(3)
The immunity conferred by subsection (2) does not extent to culpable negligence.
(4)
A civil liability that would, but for this section, attach to a member attaches instead to the trust.
