18 Proceedings of the board
A meeting of the board must be presided over by—
the chairperson; or
in the absence of the chairperson, the deputy chairperson; or
in the absence of both the chairperson and the deputy chairperson, a director elected by the directors present at the meeting.
A majority of the directors of the board for the time being constitutes a quorum.
A question arising at a meeting of the board is determined by a majority of votes.
The person presiding at a meeting of the board must ensure that accurate minutes are kept of the meeting.
The person presiding at a meeting of the board has—
a deliberative vote; and
in the case of an equality of votes, a second or casting vote.
The board may permit directors to participate in a particular meeting, or all meetings, by means of communication that does not require the physical presence of each director in the same place.
Subject to this Act, the board may otherwise regulate its own procedure.
