290 Requirements to be satisfied before offer can be made
(1)
A person must not make an offer to which this Division applies unless the making of the offer has been approved —
(a)
by special resolution passed by a special postal ballot; and
(b)
by the Registrar.
(2)
Despite subsection (1), an offer referred to in section 289(1)(e) can be made even if it has not been approved as referred to in subsection (1) if it is made in circumstances stated in, and in accordance with the requirements of, the regulations.
