199 Qualification of directors
(1)
In this section —
member director means a director who is a person qualified to be a director under subsection (2)(a).
(2)
A person is not qualified to be a director of a co‑operative unless the person is —
(a)
a member of the co‑operative or a representative of a corporation that is a member of the co‑operative; or
(b)
an employee of the co‑operative or a person qualified as provided by the rules.
(3)
The majority of directors must be member directors.
(4)
Subsection (3) does not prevent the rules of a co‑operative requiring that a greater number of directors than a majority must be member directors.
