202 Transaction of business outside meetings

(1)

The board of a co‑operative may, if it considers appropriate, transact any of its business by the circulation of papers among all of the directors of the board.

(2)

A resolution in writing approved in writing by a majority of the directors of the board is taken to be a decision of the board.

(3)

Separate copies of a resolution of the board may be signed by the directors if the wording of the resolution and approval is identical in each copy.

(4)

For the purpose of approving a resolution under this section, the chairperson of the board and each director have the same voting rights as they have at an ordinary meeting of the board.

(5)

The resolution is approved when the last director required for the majority signs.

(6)

A resolution of a board must be recorded in the minutes of the meetings of the board within 28 days after the resolution is approved.

(7)

Papers may be circulated among directors of the board for the purposes of this section by facsimile or other transmission of the information in the papers concerned.
