204 Delegation by board
If authorised by the rules of a co‑operative, the board of the co‑operative may, by resolution, delegate the board’s powers, other than this power of delegation, specified in the resolution to —
a director; or
a committee of 2 or more directors; or
a committee of members of the co‑operative; or
a committee of members of the co‑operative and other persons if members form the majority of persons on the committee; or
a committee of directors and other persons.
The board may, by resolution, revoke wholly or in part a delegation under this section.
A function, the exercise of which has been delegated under this section, may be exercised from time to time in accordance with the terms of the delegation while the delegation remains unrevoked.
A delegation under this section may be made subject to conditions or limitations as to the exercise of any of the functions delegated, or as to time or circumstance.
Despite any delegation under this section, the board may continue to exercise all or any of the functions delegated.
