If the rules so provide, voting may be by proxy at a general meeting.
The instrument of proxy may state the way in which a proxy is to vote on a particular resolution.
If the instrument of proxy states the way in which a proxy is to vote on a particular resolution and the proxy is the chairperson of the meeting, the proxy must vote on a poll and must vote the way stated.
If the instrument of proxy states the way in which a proxy is to vote on a particular resolution and the proxy is not the chairperson of the meeting, the proxy need not vote, but if the proxy does so, the proxy must vote the way stated.
The rules of a co‑operative may limit the number of persons for whom a person may act as a proxy on the same question.
