62 Conflicts of interest

(1)

This section applies if a board member has a direct or indirect pecuniary interest in a matter being, or to be, considered by the board that conflicts or may conflict with the discharge of the member’s duties in considering the matter.

(2)

The member must disclose the nature of the interest and conflict at a board meeting as soon as practicable after the relevant facts come to the member’s knowledge.

(3)

The disclosure must be recorded in the minutes of the meeting and, unless the board decides otherwise the member—

(a)

must not be present during the board’s deliberation of the matter; and

(b)

must not take part in the board’s decision on the matter.
