37 Appointment of acting Chief Executive Officer

(1)

The Board may, by instrument, appoint a person to act as the Chief Executive Officer during—

(a)

any period when the Chief Executive Officer is absent from duty or for any other reason unable to perform his or her duties; or

(b)

a vacancy in the office of the Chief Executive Officer.

(2)

An appointment of a person as acting Chief Executive Officer has effect during the absence, inability or vacancy, but the person must not continue to act in the office for more than 6 months.

(3)

An appointment as acting Chief Executive Officer is on such other terms and conditions, including conditions as to the payment of remuneration, allowances and expenses as are determined by the Board.

(4)

A person appointed as acting Chief Executive Officer, while so acting, has all the powers and may perform all the duties of the Chief Executive Officer.

(5)

The Board may at any time terminate the appointment of a person as acting Chief Executive Officer.
